Juros Systems, LLC - Hardware Terms of Sale
Last Updated: Feb 16, 2025 These Hardware Terms of Sale (“Terms”) govern the purchase of hardware products, software, and related services (“Products”) from Juros Systems, LLC (“Juros Systems,” “we,” “us,” or “our”). By placing an order, submitting a purchase order, accepting a quote, or paying an invoice, you (“Customer”) agree to be bound by these Terms.
1. Orders and Acceptance
All orders are subject to acceptance by Juros Systems. Quotes are valid for the period stated in the quote or thirty (30) days from issuance, whichever is later. Customer purchase orders must reference the applicable Juros Systems Quote ID. Any additional or conflicting terms submitted by Customer are rejected unless expressly agreed to in writing by Juros Systems.
2. Pricing and Payment
All prices are listed in U.S. Dollars (USD).
Unless otherwise agreed:
- ● Payment is due according to the terms stated in the invoice.
- ● Juros Systems may charge the Customer’s designated payment method.
● Overdue amounts may accrue interest at 1.5% per month (or the maximum allowed by law).
- Payment obligations are non-cancelable and fees paid are non-refundable except as expressly stated in these Terms.
3. Taxes
Customer is responsible for all applicable sales, use, value-added, import, export, and other governmental taxes, duties, or fees associated with the purchase of Products, except taxes based solely on Juros Systems’ net income.
4. Shipping and Delivery
Domestic Orders
Shipments are FOB Origin. Risk of loss transfers to Customer upon shipment.
International Orders
Shipments are EXW (Ex Works). Customer is responsible for all shipping costs, customs duties, import taxes, and compliance with local laws.
Delivery dates are estimates only and are not guaranteed.
5. Returns and RMA Policy
5.1 Defective Products (Within 30 Days)
If Hardware is:
- ● Defective
- ● Dead on arrival (DOA)
- ● Not in conformity with the applicable order
Customer must:
- ● Contact support at support@jurossystems.com
- ● Obtain a Return Merchandise Authorization (RMA)
- ● Return the product within 30 days of delivery
Juros Systems may repair or replace the product at its discretion. Replacement units may be new or refurbished.
5.2 Voluntary Returns
Products may be returned within thirty (30) days of delivery at the sole discretion of Juros Systems. Approved voluntary returns may be subject to a fifteen percent (15%) restocking fee. The customer is responsible for all return shipping costs.
Returned items must be properly packaged and shipped to prevent damage during transit. Juros Systems reserves the right to inspect all returned products upon receipt. Refunds will only be issued after the returned item is received, inspected, and confirmed to be in proper condition and free from shipping damage or misuse.
If the product is returned damaged due to improper packaging or shipping by the customer, Juros Systems reserves the right to deny the refund or deduct additional costs necessary to repair or restore the product to sellable condition.
6. Warranty
6.1 Limited Hardware Warranty
Juros Systems warrants that Hardware will be free from material defects under normal use during the warranty period specified in the applicable order.
The warranty does not cover:
- ● Accidental damage
- ● Misuse or improper installation
- ● Unauthorized modifications
- ● Cosmetic wear
- ● Third-party software
- ● Data loss

If a valid warranty claim is made, Juros Systems will repair or replace the defective product at its
discretion.
6.2 Warranty Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, PRODUCTS ARE PROVIDED “AS IS.” JUROS SYSTEMS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Software
Software provided with the Hardware is licensed, not sold. Customer’s rights to use the software are governed by the applicable end-user license agreement.
8. Support Services
Support services, if purchased, are provided during the term specified in the applicable order. Customers must obtain an RMA number before returning hardware for service. Out-of-warranty repairs may require payment of inspection, repair, and shipping costs.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Juros Systems’ total liability arising out of or related to the Products shall not exceed the amount paid by Customer for the applicable order.
Juros Systems shall not be liable for:
- ● Lost profits
- ● Loss of data
- ● Business interruption
- ● Indirect, incidental, special, or consequential damages
10. Indemnification
Juros Systems will defend and indemnify Customer against third-party claims alleging that the Products infringe valid intellectual property rights, subject to reasonable cooperation and prompt notice. This is Customer’s sole remedy for infringement claims.
11. Confidentiality
- Each party agrees to protect confidential information disclosed by the other party for a period of three (3) years following disclosure.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Santa Clara County, California.
13. Export Compliance
Customer agrees to comply with all applicable export laws and regulations of the United States and other applicable jurisdictions.
14. Force Majeure
Juros Systems shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, supply chain disruptions, labor disputes, or governmental actions
15. Entire Agreement
These Terms, together with any applicable Order, constitute the entire agreement between Customer and Juros Systems and supersede all prior agreements or understandings.
